These Terms of Service (the "Terms") apply to the PDF, scanner, document reader, and office utility apps listed below (collectively, the "Apps"). These Apps are currently published on Google Play by NEXT AI Lab and operated by Sophon LLC ("we", "us", or "our").

These Terms cover the following Apps:

If an App is not listed above, these Terms apply only if that App links to these Terms and is published by NEXT AI Lab or operated by Sophon LLC.

These Terms form a binding legal contract between you ("you" or "your") and Sophon LLC regarding your download, installation, access, and use of the Apps and related services. By downloading, installing, accessing, or using any App, you agree to these Terms. If you do not agree, you must not use the Apps.

We may revise these Terms from time to time. The latest version will be made available in or through the Apps or on the website where these Terms are hosted. Your continued use of an App after an update means you accept the revised Terms.

1. License and Use of the Apps

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to download, install, access, and use the Apps for lawful purposes.

You agree not to:

• Copy, modify, distribute, sell, lease, sublicense, or create derivative works from the Apps except as permitted by law or expressly authorized by us.
• Reverse engineer, decompile, disassemble, or attempt to extract source code from the Apps except where prohibited from restriction by applicable law.
• Use the Apps for unlawful, fraudulent, misleading, abusive, infringing, or harmful purposes.
• Interfere with, disrupt, overload, or compromise the Apps, our systems, or third-party systems.
• Use automated scripts, bots, scrapers, or similar tools to access the Apps in a way that exceeds ordinary human use.
• Remove or alter proprietary notices, branding, or legal notices in the Apps.
• Use the Apps to collect personal data from others without proper rights and consent.

You are responsible for your use of the Apps and for complying with all applicable laws and regulations.

2. App Features and User Content

The Apps may allow you to scan documents, capture images, import files, open documents, view documents, create PDFs, edit files, convert files, annotate files, sign files, export files, save files, print files, share files, or use related document tools.

You retain ownership of the documents, images, files, and other content you create, import, scan, upload, export, or process through the Apps ("User Content"). You are solely responsible for your User Content and for ensuring that you have all necessary rights to use it with the Apps.

You represent and warrant that your User Content:

• Is owned by you or used with all necessary permissions.
• Does not infringe or violate any intellectual property, privacy, publicity, contractual, or other rights.
• Does not contain unlawful, harmful, misleading, abusive, obscene, discriminatory, or malicious material.
• Does not contain viruses, malware, or code intended to damage or interfere with any system.

We do not guarantee that User Content can always be recovered. You are responsible for keeping backup copies of important files.

3. Intellectual Property

The Apps, including software, design, interfaces, features, graphics, trademarks, service marks, logos, and other materials, are owned by us or our licensors and are protected by intellectual property and other laws.

Except for the limited license granted in these Terms, we do not grant you any rights in the Apps or our intellectual property.

4. Purchases and Subscriptions

Some Apps may offer paid features, in-app purchases, or subscriptions. Purchases and subscriptions may be processed by Google Play or another payment provider. Your payment, renewal, cancellation, and refund rights may be governed by the payment provider's terms and policies in addition to these Terms.

You are responsible for reviewing the price, billing period, renewal terms, cancellation process, and other purchase details before completing a purchase.

5. Privacy

Your use of the Apps is also governed by our Privacy Policy for NEXT AI Lab PDF and Office Apps. The Privacy Policy explains how we access, collect, use, disclose, and protect information related to the Apps.

The Apps may request permissions such as camera, photos, media, documents, file storage, notifications, or internet access when needed for App functionality. You can manage permissions in your device settings, but some features may not work without required permissions.

6. Third-Party Services

The Apps may include or interact with third-party services, platforms, SDKs, advertising networks, analytics providers, crash reporting services, cloud storage providers, payment providers, printing services, sharing services, or links to third-party websites.

Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party content, services, policies, availability, or security practices.

7. Prohibited Conduct

You agree not to use the Apps to:

• Violate any applicable law, regulation, or third-party right.
• Scan, create, store, share, or distribute unlawful or infringing content.
• Harass, threaten, defame, impersonate, or harm others.
• Circumvent security, access controls, payment systems, or usage limits.
• Upload or transmit malware, spyware, or other harmful code.
• Misrepresent your identity or affiliation.
• Use the Apps in a way that could damage, disable, impair, or interfere with our services or other users.

We may suspend or terminate access to the Apps if we reasonably believe you have violated these Terms or applicable law.

8. Disclaimers

The Apps are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee that the Apps will be uninterrupted, error-free, secure, compatible with every device, or that defects will be corrected. We are not responsible for data loss, file corruption, service interruptions, network failures, device failures, or issues caused by third-party services.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Sophon LLC, NEXT AI Lab, and our affiliates, officers, directors, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, goodwill, or business opportunities arising from or related to the Apps or these Terms.

To the fullest extent permitted by applicable law, our total liability for any claim arising from or related to the Apps or these Terms will not exceed the amount you paid to us for the relevant App in the twelve months before the claim arose, or USD 100, whichever is greater.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless Sophon LLC, NEXT AI Lab, and our affiliates, officers, directors, employees, contractors, licensors, and service providers from and against claims, damages, losses, liabilities, costs, and expenses arising from or related to your use of the Apps, your User Content, your violation of these Terms, or your violation of any law or third-party right.

11. Termination

You may stop using the Apps and uninstall them at any time. We may suspend, restrict, or terminate your access to the Apps if you violate these Terms, create risk or legal exposure, or if we discontinue any App or any part of it.

Termination does not affect obligations that by their nature should survive, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute provisions.

12. Changes to the Apps

We may modify, suspend, or discontinue the Apps or any feature at any time, with or without notice, subject to applicable law. We are not liable for modifications, suspensions, discontinuation, or unavailability of the Apps.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles, unless applicable consumer protection laws require otherwise.

Before filing a claim, you and we agree to try to resolve the dispute informally by contacting each other. If a dispute cannot be resolved informally, it will be resolved through binding arbitration in Delaware, United States, unless applicable law requires another forum or grants you non-waivable rights.

14. Miscellaneous

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of our right to enforce it later. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or transfer of assets.
